The Inovis Privacy Policy governs information gathered by Inovis from visitors and customers to the Websites. As used in this Privacy Policy, "Inovis" and "we" refers to Inovis USA, Inc. and any of its affiliates and subsidiaries.

Business Information Collected and How It Is Used

Inovis collects Business Information necessary to enable us to respond to your requests for Inovis products and services and to send you information regarding Inovis products and services from time to time. Since most of the users of Inovis products and Websites are doing so in their capacity as employees or companies, most Business Information we collect will be in that capacity (rather than information about you individually, such as your personal tastes, etc.). For these purposes, we have defined "Business Information" as any information that identifies or may identify a specific individual or a company or that allows others to contact a specific individual or a company.

Business Information is collected on the Websites when you complete an online form, application, survey, request for information, or when you provide contact information for purposes of establishing a user identification and password where required to access customer portions of the Websites. You will be informed at the time you provide Business Information whether the information is required or optional.

Through the use of cookies, Inovis may also collect information from you in ways that may not be apparent to you. Please see the section entitled Cookies below in order to understand these processes and your options in this regard.

Below we describe how the Business Information collected at each interface on the Website is used by Inovis. Inovis does not sell, rent or trade information collected on the Websites, and does not disclose the information collected on the Websites to third parties except to act upon your requests or queries as described in this section, or as otherwise permitted under this Privacy Policy. From time to time, we may collect information other than as described below. In these cases, unless it is clear to you that we are collecting such information (e.g., through customer feedback forms) or the information we collect cannot be used to identify a specific person or company ("Non-Personal Information"), we will provide you with notice of how such information is intended to be used.

Requests for Information

Customers, members of the media and other visitors to the Websites are invited to fill out information forms in order to request more information about Inovis and its business solutions. These information forms generally require that you provide Business Information such as name, title, company name, address and contact information, as well as indications of specific interest (if applicable). Inovis uses this information to respond to your requests, to assess customer response to its business offerings, and to contact you with respect to the product and service offerings that you indicate are of interest to you.

Prospective Partners and Employees

Inovis invites Website visitors who may be interested in becoming Inovis partners or employees to submit information for consideration by Inovis. Prospective partners will be required to supply Business Information including your name, company, and contact information on the Partner Information Form. Prospective employees are required to submit their resumes. Business Information submitted to Inovis in this manner will be used in order to consider your application and to respond to your request.

Other Internal Uses

In addition to the uses outlined above, Inovis may internally use your Business Information in order to establish and verify your identity if you submit information to Inovis, provide services and support to visitors to the Website, provide you with updates, promotions and other information about Inovis, tailor the Website to your preferences, and maintain the security and integrity of its systems. To the extent you no longer wish to receive information from Inovis, please see "Communications from Inovis and Opting Out" below.

For Customers

Inovisworks allows Inovis' customers to exchange mission-critical business documents with their trading partners, regardless of the data format or network connectivity standards. The customer determines what data will be exchanged, as well as the trading partners with whom it will be exchanged. Inovis archives the data that flows through Inovisworks for a limited time period so that customers can recover data and documents in the event of a system failure or other catastrophic event. Each customer controls the data that flows through Inovisworks, and the entities to which data access will be permitted.

Customers are required to establish user identification names and passwords to access Inovisworks or the Inovis customer web portal for services and/or support. An individual name and contact information is required to obtain a user identification and password.

Non-Personal Information

Inovis may also anonymize Business Information by cleansing it of any information which might allow a specific person or company to be identified or contacted, and combine this Non-Personal Information with that of other visitors to the Website. Inovis uses Non-Personal Information for internal business purposes, such as analysis and planning by its marketing and other departments, and assessment and improvement of Website functionality and performance.

When you visit the Inovis Websites, like when you visit most other websites, certain information is automatically logged about your visit. This information may include your IP address, which is the number assigned to your computer whenever it is connected to the Internet, your operating system, screen settings, Web browser software, and referring website. None of this information can be used to identify a specific person or company. It is used for system improvement and administration, security, statistical analysis purposes, and other internal business purposes.

Cookies

We also use cookies to enhance the user experience, and collect information about the use of the Websites. "Cookies" are small computer files that we transfer to your computer's hard drive. Cookies allow us to statistically monitor how many people are using the Websites and for what purposes, how often someone visits the Websites, the content that is viewed and the length of their stay. We also use cookies to prevent you from having to re-enter your Business Information in order to access Inovis newsletters, if you have already registered for access to them. Most browsers are initially set to accept cookies, but users can change the setting to refuse cookies or to be alerted when cookies are being sent. Although acceptance of cookies will not interfere with the ability to interact with most of the Websites, you will need to accept cookies in order to avoid re-entering Business Information in order to access the newsletters or other types of marketing information published by Inovis. The cookies are renewed each time a user logs on to the Websites.

Information Sharing and Disclosure

Inovis will not license, sell, rent or share your Business Information with any third party except as set forth below, to act upon your requests as detailed in Business Information Collected and How It Is Used, or with your consent.

Contractors and Agents

Inovis may employ third party contractors to provide services to us or to perform functions on Inovis' behalf. Inovis may share Business Information with such contractors in order to assist us in using the data for the purposes outlined in this Privacy Policy. These contractors are contractually required to maintain the confidentiality of the information and are restricted from using the information for any purpose other than those authorized by Inovis.

Compliance with Law and Legal Requests

Inovis may provide your Business Information to government agencies as required by law or regulation. In addition, Inovis may release your Business Information in the unlikely event Inovis deems release necessary to comply with the law, or to legally protect Inovis, its customers or partners, or as Inovis determines to be reasonably necessary to protect the property, safety, or rights of others.

Business Transfers

In the event that all or a portion of Inovis, or substantially all the assets of Inovis, is sold or offered for sale to another business entity, Business Information collected from the Websites may be among the assets transferred to such business entity in connection with such a transaction or potential transaction.

Communications from Inovis and Opting Out

Some of Inovis' Website interfaces provide you with an opportunity to indicate whether you wish to receive communications from Inovis beyond those necessary to respond to your inquiry or request at the time that you submit Business Information to Inovis. In addition, you have the option at any time of opting out of further communications from Inovis by sending a message to info@inovis.com or by following the specific opt-out instructions provided on communications from Inovis.

Accessing and Deleting Your Personal Information

If at any time you wish to access your information in order to update, modify or delete it, please contact Inovis at the address or phone number listed below. As soon as reasonably possible upon receipt of your request, Inovis will modify your Business Information or comply with your request. If you request that Inovis delete your Business Information, Inovis may make the information unavailable for use rather than fully deleting it from its systems. Please also note that Inovis may not be able to provide you with certain products and/or services once you are removed from Inovis' contact lists.

Security

Inovis treats your information as an asset that must be protected against loss and unauthorized access. We employ information security techniques to appropriately protect confidential information from unauthorized access by users inside and outside Inovis.

Controlled Access

Inovis restricts access to its data center and server rooms to authorized personnel. Inovis limits access to Business Information to those employees, agents or contractors that have a legitimate business need to access such information. Inovis employees are trained on Inovis' privacy and security procedures. Only authorized Inovis employees, agents or independent contractors are permitted to access your Business Information, and all such employees, agents or independent contractors must agree in writing to abide by Inovis' Privacy Policy. Employees who violate Inovis' Privacy Policy are subject to disciplinary action, up to and including termination.

Technology Safeguards

Inovis and its supporting systems, which are currently located in the United States, employ industry standard practices to safeguard Business Information and other information, including firewall security, intrusion analysis, encryption technology and security audits.

Unauthorized Access

As outlined above, Inovis will adopt reasonable measures necessary to protect the security of Business Information. However, Inovis is not responsible for unauthorized access to such information by hackers or others who have obtained such access through illegal measures.

Linked Internet Sites

Inovis may provide links to external sites as a convenience to visitors to the Websites. The inclusion of any link does not imply Inovis' endorsement of such external website or the products and services offered at such site. Inovis is not responsible for the privacy practices or the content of such websites. Please note that if you link to a third party site from the Websites, any information you reveal on that site is not subject to this Privacy Policy. Therefore, you should consult the privacy policy of each site that you visit.

Consent to Transfer

Users located outside the United States who submit Business Information to Inovis via the Websites should be aware that the information they submit will be transferred to Inovis servers within the United States. Your submission of Business Information to us constitutes your consent to this transfer. Although Inovis will collect and use your Business Information only as stated in this Privacy Policy, laws generally applicable to the protection of personal data in the United States may not be as stringent as those in some users' home jurisdictions.

Children under the Age of Thirteen

Inovis' products and services are not designed to appeal to children under the age of 13. As such, the Websites are not directed at children under the age of 13 nor do we knowingly collect or maintain information from children under the age of 13 on the Websites.

Changes to the Privacy Policy

Inovis may change this Privacy Policy at any time by posting revisions to any of the Websites. Your use of any of the Websites constitutes acceptance of the provisions of this Privacy Policy and your continued usage after such changes are posted constitutes acceptance of each revised Privacy Policy. Prior to making any decision that would result in Inovis using your information in a manner materially different from that stated at the time it was collected, Inovis will notify users and users will have a choice as to whether or not we use their information in this different manner.
